- you have the legal authority to enter into this agreement;
- all information you provide is accurate and complete;
- you are authorized to provide any materials submitted to us; and
- your use of our services complies with applicable laws.
5. Project Acceptance
Submitting an enquiry or requesting a quotation does not automatically establish a client relationship.
Every project is reviewed individually.
Stagione Digital reserves the right to accept, decline, postpone, suspend, or discontinue any engagement where reasonably necessary for operational, commercial, legal, or quality-related reasons.
6. Commitment to Quality
Quality is one of the core principles of Stagione Digital.
Rather than managing an unlimited number of engagements simultaneously, we intentionally limit the number of active projects we undertake at any given time.
This allows us to provide dedicated attention, strategic thinking, responsive communication, and a consistently high standard of service to every client.
Where necessary, projects may be scheduled according to availability.
7. Client Responsibilities
To help us deliver our services effectively, clients agree to:
- provide accurate and complete information;
- provide requested materials within reasonable timelines;
- ensure they possess the necessary rights and permissions for all materials supplied to us;
- review and respond to requests for approvals promptly;
- communicate professionally and honestly throughout the engagement; and
- cooperate in good faith to facilitate the successful delivery of services.
Project timelines may be adjusted where delays arise from missing information, approvals, or client-supplied materials.
8. No Guarantee of Results
Marketing performance depends upon numerous factors outside our reasonable control, including audience behaviour, platform policies, market conditions, competition, timing, advertising performance, and third-party algorithms.
Unless expressly agreed in writing, Stagione Digital does not guarantee:
- specific streaming numbers;
- playlist placements;
- audience growth;
- engagement metrics;
- revenue;
- chart performance;
- editorial support;
- media coverage; or
- viral success.
Our commitment is to provide our services professionally, diligently, and in accordance with the agreed scope of work.
9. Intellectual Property
Clients retain ownership of the music, artwork, trademarks, logos, branding, and other intellectual property they provide to us.
Unless otherwise agreed in writing, Stagione Digital retains all rights, title, and interest in its own intellectual property, including its branding, website content, strategies, campaign methodologies, templates, reports, documentation, workflows, software, creative concepts, and other proprietary materials.
Nothing in these Terms transfers ownership of either party’s intellectual property except where expressly agreed in writing.
10. Professional Standards, Confidentiality & Proprietary Information
At Stagione Digital, we believe exceptional results are built upon professionalism, accountability, transparency, and mutual trust.
We are committed to providing our services with integrity, professionalism, and appropriate care. In return, we ask every client to communicate honestly, provide accurate information, and work collaboratively throughout the engagement.
During the course of providing our services, we may share certain non-public information including campaign strategies, planning documents, reports, dashboards, workflows, pricing information, methodologies, promotional resources, creative concepts, templates, operational processes, recommendations, and other proprietary materials (“Confidential Information”).
Such Confidential Information is provided solely for the purpose of the relevant engagement.
Clients agree not to disclose, reproduce, distribute, publish, copy, transmit, sell, sublicense, or otherwise make available any Confidential Information to any third party without our prior written consent. Clients further agree not to use such Confidential Information for any purpose unrelated to the agreed services or in any manner that reproduces, commercially exploits, or misrepresents Stagione Digital’s proprietary methods, resources, or business operations.
These obligations do not apply where the information becomes publicly available through no breach of these Terms, is lawfully obtained from an independent source without confidentiality obligations, or disclosure is required by applicable law.
Likewise, Stagione Digital will handle non-public information shared by clients with appropriate professional care and will use such information only as reasonably necessary to provide the requested services, comply with applicable law, or where authorized by the client.
11. Communication

Official project communications may take place through email, our website, approved messaging platforms, scheduled meetings, or other mutually agreed communication channels.
To avoid misunderstandings, significant project decisions, approvals, revisions, or scope changes may be confirmed in writing.
12. Fees and Payments
Fees, payment schedules, deliverables, and project timelines will be communicated and agreed upon before work commences.
Unless otherwise agreed in writing:
- invoices are payable in accordance with the agreed payment terms;
- work may commence only after receipt of any required advance payment; and
- any additional services requested outside the original scope may be subject to separate fees.
Failure to make payments in accordance with agreed terms may result in suspension or termination of services.
13. Cancellations and Refunds
Due to the nature of digital marketing, consulting, and creative services, substantial work often begins shortly after a project is confirmed.
Unless otherwise agreed in writing or required by applicable law:
- payments made for completed work are non-refundable;
- cancellation requests will be considered on a case-by-case basis;
- if work has already commenced, refunds may be reduced to reflect work completed, resources allocated, and costs incurred.
Nothing in this section limits any rights that cannot legally be excluded under applicable law.
14. Third-Party Platforms
Our services may involve or interact with third-party platforms, websites, advertising services, social media platforms, streaming platforms, analytics providers, or other external services.

Nothing in these Terms excludes liability that cannot lawfully be excluded.
17. Indemnification
You agree to indemnify and hold harmless Stagione Digital, its owners, directors, employees, contractors, affiliates, and representatives from claims, losses, damages, liabilities, costs, and reasonable legal expenses arising from:
- your breach of these Terms;
- information or materials supplied by you;
